[Important] Notice of Revision to IoT Equipment Maintenance and Sales Terms and Conditions

Dear Valued Customers,
Thank you very much for your continued support of Shirushi Inc.

We would like to inform you that we will be revising the various Terms and Conditions related to “Web3 Maker®” effective April 1, 2026. Please find the details of the revisions below.

2.Details of Revisions

■ IoT Equipment Maintenance Terms and Conditions

Revision to Article 7, Paragraph 6 (Settlement of Outsourcing Fees)

The provision regarding the method of settling outsourcing fees in the final year of the contract term has been revised.

After Revision: Notwithstanding the provisions of Paragraph 4, in the event that Article 13, Paragraph 2 applies, the outsourcing fee for the final year of the contract term shall be calculated on a monthly basis, with any period less than 30 days treated as one full month. The Company may offset such fees against any outstanding mining rewards to be delivered by the Company, converted into Japanese Yen at the crypto asset exchange rate determined by the Company. In this case, an invoice for the relevant outsourcing fee will not be issued, except in cases where the fee is not fully paid through the offset method alone.

 

Revision to Article 13, Paragraph 2 (Effective Period)
Provisions have been added regarding the setting of the contract period when this agreement is added during the term of an existing IoT Equipment Management Agreement.

After Revision: Notwithstanding the preceding paragraph, if this Agreement is entered into during the effective term of an IoT Equipment Management Agreement between the Company and the Customer, the effective term of this Agreement shall be the same as the effective term of said IoT Equipment Management Agreement.

■ IoT Equipment Sales Terms and Conditions
Addition to Article 4, Paragraph 4 (Conditions for Product Purchase)
The definition of eligible purchasers has been partially relaxed and clarified.

Before Revision: The Customer shall represent and warrant to the Company that the Customer is a corporation or a sole proprietor and is entering into this Agreement for business purposes or as a business.

Added Content: Provided, however, that this shall not apply if the Customer only uses the IoT Equipment Maintenance Service and does not use the IoT Equipment Management Service.

 

3.How to Confirm the Revised Terms
